1. THE INCEPTION STAGE

 

  • Preparation of profile of your company

  • Analysis of your company's key financial and contractual documents

  • Analysis of key contractual documents governing the proposed transaction

  • Confirmation and proof of required equity for the proposed transaction

  • Establishment and understanding of your objectives, including purpose of the transaction, the debt and/or equity mix and most feasible market financing options available

  • Advisory and assistance in determining your detailed requirements for any transaction initiative, including election and crystallization of a suitable corporate and shareholder structure, the development of a key financial model, commissioning, completion and review of requisite 3rd Party reports and the approximate all-inclusive  cost of the transaction

  • Issuance of an Inception Report clearly summarizing the above elements and findings

2. THE IDENTIFICATION STAGE

 

  • Preparation of target financial partner profiles

  • Review or preparation of pitch deck presentations for financial partners  (if required)

  • Preparation of Confidential Information Memorandum (CIM) of your company, summarizing the entirety of your operations, finances, and the transaction for use in discussions with potential financial partners

  • Preparation of a shortlist and selection of financial partners

  • Communication of Confidential Information Memorandum to the financial partners

  • Receipt and review of expressions of interest / discussion papers or letters of intent from financial partners for final selections and countersigning

3. THE TRANSACTION STAGE

 

  • Completion of basic financial partner due diligence

  • Negotiations and/or project work on findings in the due diligence

  • Signature of Commitment Letter

  • Payment of Success Fee to the Consultant

  • Coordination of legal requirements, Seller, Buyer, Financial Partner

  • Corporate allocation and disbursement of funds

4. THE INTEGRATION STAGE

 

  • Coordination with external third parties including taxation, legal advisory, title, etc.

  • Integration of purchased assets, and/or properties into your company's operational budget

  • Activation or transition of credit facilities / documentation / online / digital banking and ancillary banking products such as credit cards, foreign exchange, employee benefits, etc.

  • Integration of systems (CRM, payments, cash management, logistics, ERP, etc.)  -as applicable

  • Integration of other departments (HR, IT, Operations, Marketing etc.) -as applicable

  • Spiga After-Care Monitoring -six (6) months
